Terms of Use

These Terms of Use ("Terms") govern your access to and use of the Showroom digital showroom platform ("Platform") operated by Robert Todd Ltd ("Robert Todd", "we", "us", or "our"), a company registered in England and Wales. By accessing or using the Platform you agree to be bound by these Terms in full. If you do not agree, you must not access or use the Platform.

1. Definitions

• "Content" means all designs, images (including AI-generated images), photographs, illustrations, technical specifications, product descriptions, pricing information, collection details, mood boards, videos, documents, watermarks and any other materials made available through the Platform.
• "User" means any individual who has been granted access to the Platform, whether as a customer, buyer, agent or other invited party.
• "Account" means the personal login credentials and profile assigned to a User.
• "Quick Link" means a time-limited, tokenised URL that provides temporary access to specific Content without requiring an Account.

2. Access and Registration

2.1   Access to the Platform is by invitation only. You may only create an Account using a valid invitation link provided by Robert Todd.

2.2   You are responsible for maintaining the confidentiality of your login credentials. You must not share your Account details with any third party.

2.3   You agree to notify us immediately of any unauthorised use of your Account.

2.4   We reserve the right to suspend or terminate your Account at any time, with or without notice, for any reason, including breach of these Terms.

3. Confidentiality

3.1   All Content made available through the Platform is strictly confidential and proprietary to Robert Todd.

3.2   You shall not, without the prior written consent of Robert Todd:

• Copy, reproduce, download, screenshot, photograph, record or otherwise capture any Content;
• Share, distribute, forward, publish or disclose any Content to any third party, whether in whole or in part;
• Use any Content for any purpose other than evaluating Robert Todd products for legitimate buying, wholesale or editorial purposes;
• Share Quick Links or any access tokens with unauthorised persons;
• Remove, obscure or alter any watermarks, proprietary notices, or copyright markings on Content.

3.3   These confidentiality obligations survive the termination of your Account and access to the Platform.

5. Intellectual Property

5.1   All Content, designs, trademarks, trade names, logos, brand identity elements and other intellectual property displayed on the Platform are and remain the exclusive property of Robert Todd or its licensors.

5.2   Nothing in these Terms grants you any right, title or interest in or to any intellectual property of Robert Todd.

5.3   Any unauthorised use of Robert Todd's intellectual property may result in legal proceedings.

6. Permitted Use

6.1   You may access the Platform solely for the purpose of viewing collections, styles and showrooms to which you have been granted access by Robert Todd.

6.2   You shall not:

• Use the Platform for any unlawful purpose or in violation of any applicable laws or regulations;
• Attempt to gain unauthorised access to any part of the Platform, other Users' Accounts or any systems connected to the Platform;
• Use automated systems, bots, scrapers or other tools to extract data or Content from the Platform;
• Interfere with or disrupt the integrity or performance of the Platform;
• Reverse-engineer, decompile or disassemble any part of the Platform;
• Use any Content for competitive analysis, benchmarking or to develop competing products.

7. Data Protection and Privacy

7.1   Robert Todd is the data controller for personal data processed through the Platform.

7.2   We collect and process the following personal data:

• Name, email address and company name (provided during registration);
• IP address and browser/device information (collected automatically);
• Records of Terms acceptance (including timestamp, IP address and user agent);
• Access logs and usage data relating to your use of the Platform.

7.3   We process your personal data on the following legal bases under the UK General Data Protection Regulation (UK GDPR):

• Legitimate interest: to provide and secure the Platform, manage invitations, enforce confidentiality and protect intellectual property;
• Contractual necessity: to fulfil our obligations in providing you access under these Terms;
• Legal obligation: where required by applicable law.

7.4   Your personal data is stored securely on servers located within the United Kingdom (Google Cloud, europe-west2 region). We may use third-party service providers (including Google Cloud Platform and email delivery services) to operate the Platform, and these providers may process data on our behalf under appropriate data processing agreements.

7.5   We retain your personal data for as long as your Account remains active or as needed to fulfil the purposes described above. Upon Account termination, we may retain certain data where required by law or for legitimate business purposes.

7.6   Under UK data protection law, you have the right to:

• Request access to the personal data we hold about you;
• Request correction or deletion of your personal data;
• Object to or request restriction of processing;
• Request data portability;
• Lodge a complaint with the Information Commissioner's Office (ICO).

8. Cookies and Analytics

8.1   The Platform uses essential cookies required for authentication and session management. These cookies are strictly necessary for the Platform to function and cannot be disabled.

8.2   We do not use third-party advertising or tracking cookies.

9. Watermarks and Content Protection

9.1   Content displayed on the Platform may be watermarked or otherwise protected to deter unauthorised reproduction.

9.2   Removal, alteration or circumvention of any watermark or content protection measure is strictly prohibited and may constitute a criminal offence.

10. Quick Links and Shared Access

10.1   Quick Links provide temporary access to specific Content and expire automatically after a set period.

10.2   Quick Links are intended for the designated recipient only. You must not forward or share Quick Links with any person not authorised by Robert Todd.

10.3   Robert Todd reserves the right to revoke any Quick Link at any time without notice.

11. Access Expiry and Seasonal Restrictions

11.1   Access to specific showrooms, styles or collections may be time-limited and subject to seasonal restrictions.

11.2   Robert Todd may modify, restrict or remove access to any Content at any time without prior notice.

12. Password-Protected Quick Links

12.1   Certain Quick Links may be additionally protected by a password. Passwords are provided on a need-to-know basis and must not be shared with any person not authorised by Robert Todd.

13. Disclaimer of Warranties

13.1   The Platform and all Content are provided on an "as is" and "as available" basis without any warranties of any kind, whether express, implied or statutory.

13.2   Robert Todd does not warrant that the Platform will be uninterrupted, error-free, secure or free from viruses or other harmful components.

13.3   All product images, including AI-generated images, are for reference purposes only. Actual products may differ in colour, material, finish and dimensions.

14. Limitation of Liability

14.1   To the maximum extent permitted by law, Robert Todd shall not be liable for any indirect, incidental, special, consequential or punitive damages arising out of or in connection with your use of the Platform.

14.2   Robert Todd's total liability to you for any claim arising out of or in connection with these Terms or the Platform shall not exceed £100.

14.3   Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded by law.

15. Indemnification

You agree to indemnify and hold harmless Robert Todd, its officers, directors, employees and agents from and against any claims, liabilities, damages, losses and expenses (including reasonable legal fees) arising from or in connection with your breach of these Terms, your misuse of the Platform, or any unauthorised disclosure of confidential Content.

16. Modifications to Terms

16.1   Robert Todd reserves the right to modify these Terms at any time. Updated Terms will be posted on the Platform with a revised effective date.

16.2   Continued use of the Platform following any changes constitutes acceptance of the revised Terms. We may require you to re-accept the Terms if material changes are made.

17. Governing Law and Jurisdiction

17.1   These Terms are governed by and construed in accordance with the laws of England and Wales.

17.2   Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

18. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

19. Entire Agreement

These Terms constitute the entire agreement between you and Robert Todd regarding your use of the Platform and supersede all prior agreements and understandings.
